Non-Disclosure Agreement

1. Beta confidentiality terms

These are the public beta confidentiality terms for Cognora. They apply to beta participants, evaluators, and customers unless a separate written NDA is signed. A signed agreement will supersede this page where it conflicts.

2. Confidential information

"Confidential Information" includes non-public information disclosed or made available through the beta, such as:

• Unreleased product features, designs, and roadmap details.
• Beta pricing, admin catalog, and commercial discussions.
• Customer workspace data, meeting content, and account details.
• Technical, security, and operational information not publicly published.

3. Exclusions

Confidential Information does not include information that:

• Is or becomes publicly available without breach of these terms.
• Was lawfully known to the recipient before disclosure.
• Is independently developed without use of Confidential Information.
• Is lawfully received from a third party without confidentiality restrictions.
• Must be disclosed by law or court order, provided the recipient gives notice where legally permitted.

4. Obligations

• Protect Confidential Information using reasonable care.
• Use it only to evaluate, use, or support the Cognora beta.
• Do not disclose it to others without Cognora's permission, except to employees or contractors who need to know and are bound by similar obligations.

5. Term

These obligations apply during the beta and for two years after your last access to Confidential Information, except trade secrets which remain protected for as long as they qualify as trade secrets under applicable law.

6. Return and deletion

Upon request or end of beta access, you will stop using and, where feasible, delete or return Confidential Information in your possession, subject to backups and legal retention limits.
